This website at cmintegrations.co.uk (the “Site”) is operated by CM Integrations Ltd (“we”, “us”, or “our”). We are a company registered in England and Wales under company number 17021157, with our registered office at 68 Winslow Road, Wingrave, Buckinghamshire, HP22 4QB, United Kingdom. These terms and conditions (“Terms”) govern both your use of the Site and your purchase of products and licences from us. By using the Site or placing an order, you confirm that you accept these Terms. If you do not accept them, please do not use the Site or place an order.
Please read these Terms carefully and save or print a copy for your records. We may update these Terms from time to time (see section 17), so please check them when you visit the Site.
We sell software licences, related digital products (including serial numbers and downloadable files), and hardware devices. Products may be sold individually or as part of a licence that includes one or more modules.
We take care to describe and show our products accurately. However, product images and descriptions are for illustration, and minor variations may occur. Where a product is sold by licence, the specific scope, term, and number of permitted activations or seats will be stated on the product page or in your order.
You may use the Site to find out about us and our products, to place orders, and to manage your account. You agree to use the Site only for lawful purposes and not to:
We may suspend, withdraw, or restrict all or part of the Site for business or operational reasons at any time, and we will try to give reasonable notice where we can.
All content on the Site — including text, graphics, logos, images, and software — is owned by us or our licensors and is protected by intellectual property laws. The names “CM Integrations” and our product names and logos are our trademarks and may not be used without our prior written permission.
Buying a licence gives you the right to use the relevant software on the terms set out in section 9; it does not transfer ownership of any intellectual property to you.
To buy certain products you may need to create an account. You are responsible for keeping your account details and password secure and for all activity that takes place under your account. You must give accurate and complete information when you register and keep it up to date. Please contact us straight away if you believe your account has been used without your permission.
If you register as a reseller, additional terms apply (see section 13), and your account and any reseller pricing are subject to our approval.
Prices are shown on the product pages and may be displayed in different currencies depending on your location; the currency and price that apply to your order are those shown at checkout. Prices include VAT where applicable, unless stated otherwise.
We try to ensure prices are correct, but errors can occur. If we discover an error in the price of something you have ordered, we will contact you before processing your order, and you may choose to continue at the correct price or cancel.
Payment is taken at the time of purchase by the methods offered at checkout. Where you pay by card or digital wallet, payment is handled securely by our payment provider, and we do not store your full card details. Where you pay by bank transfer, your order will be processed once we have received cleared funds.
After you place an order, we will send you an acknowledgement that we have received it. This acknowledgement does not mean your order has been accepted. A binding contract is formed only when we accept your order, which we do when we send you confirmation that your licence has been issued or your product has been dispatched. If we cannot accept your order, we will let you know and will not charge you, or will refund any payment taken.
Digital products, including licence keys, serial numbers, and downloadable files, are normally delivered electronically — for example by email or through your account — shortly after your order is accepted. Please check that the contact details on your account are correct so that we can deliver to you.
When you buy a licence, we grant you a non-exclusive, non-transferable right to use the relevant software for the term and within the scope set out on the product page or in your order. Unless your order says otherwise, you may not:
Some licences are tied to a specific device or hardware identifier, or are issued as time-limited or trial licences. The applicable limits will be shown with the product. We may provide updates from time to time; these are provided under these Terms unless we tell you otherwise.
Where your order includes hardware, we will deliver it to the address you give us. We will let you know the delivery options and any delivery charges at checkout, and we will give you an estimated delivery date. Delivery times are estimates and are not guaranteed.
Responsibility for the goods passes to you when they are delivered. Ownership of the goods passes to you once we have received payment in full. Please check your goods on arrival and contact us promptly if anything is missing, damaged, or incorrect.
We offer a 30-day returns policy on hardware. If 30 days have passed since delivery, we are unable to offer a refund or exchange, except where the product is faulty or not as described. To be eligible for a return, hardware must be unused, in the same condition you received it, and in its original packaging, and you must provide a receipt or proof of purchase. You are responsible for the cost of returning the goods, and return shipping costs are non-refundable; where a refund is given, the cost of return shipping may be deducted from it.
Downloadable software products and licences are non-returnable. Because they are supplied immediately on delivery of the key or file, you will be asked to agree that you lose your right to cancel once delivery begins, and once a licence key or serial number has been issued or activated, the purchase is non-refundable, except where the product is faulty or not as described.
If you are a consumer, this 30-day policy is in addition to your statutory rights, including your right to cancel within 14 days under the Consumer Contracts Regulations 2013 and your rights under the Consumer Rights Act 2015 if goods are faulty, not as described, or not fit for purpose. If you are a business customer, returns outside the 30-day policy are accepted only with our agreement, except where goods are faulty or not as described.
Once we receive and inspect a returned item, we will email you to confirm receipt and to tell you whether the refund is approved. If approved, the refund will be made to your original payment method within a reasonable time. Only regular-priced items can be refunded; sale items are not refundable. We replace items only if they are defective or damaged. Full details are set out in our Refund and Returns Policy.
We warrant that hardware will be free from material defects for 12 months from the date of delivery, in addition to any rights you have under law. If hardware develops a fault within this period through normal use, we will repair or replace it, or provide a refund, at our option. This warranty does not cover faults caused by misuse, accident, unauthorised modification, or normal wear and tear.
Software and licences are provided on the basis that they will materially perform as described. Except as set out in these Terms and as required by law, the Site and our products are provided without further warranties.
If you are a consumer, you have legal rights under the Consumer Rights Act 2015, including that goods must be of satisfactory quality, fit for purpose, and as described, and that digital content must meet the same standards. Nothing in these Terms affects those rights.
If we approve you as a reseller, you may purchase products at the reseller pricing applied to your account and resell them to your own customers. You must deal fairly and lawfully with your customers, must not make any representations about our products beyond what we publish, and remain responsible for your own customer relationships. We may withdraw reseller status or pricing where you breach these Terms.
We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud, and for any matter for which it would be unlawful to limit liability — including your statutory rights as a consumer.
Subject to that, we will not be liable for any loss or damage that was not foreseeable, for any business losses (including loss of profit, business, or opportunity) where you are a business customer, or for any indirect or consequential loss. Subject to the first paragraph of this section, our total liability to you for any order will not exceed the price you paid for that order.
We will not be responsible for any failure or delay in performing our obligations that is caused by events outside our reasonable control, such as supply failures, network or hosting outages, or other circumstances beyond our control. If such an event occurs, we will let you know and take reasonable steps to limit its effect.
We use your personal data only as set out in our Privacy Policy, which explains what we collect and how we use it. Please read it to understand our practices.
We may change these Terms from time to time, for example to reflect changes in law or in how we operate. The version that applies to your order is the one in force when you place it. The current version will always be available on the Site, and we will update the “Last updated” date at the top.
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your home jurisdiction.
